Replication Manager Contributor Agreement

This Contributor Agreement (the "Agreement") is entered into between SIGNAL18 CLOUD SAS ("Maintainer") and the individual or legal entity identified below ("Contributor").

  1. Contributor Grant of License.

    a. License Grant. Contributor hereby grants to Maintainer a non-exclusive, worldwide, royalty-free, irrevocable license under the Contributor's copyrights, patent rights, and any other intellectual property rights with respect to the code, documentation, or any other materials contributed by the Contributor to the [Project Name] project (the "Contribution"), to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute the Contribution and such derivative works.

    b. License to the Public. Contributor agrees that the Contribution will be made available to the public under the terms of the GNU General Public License, Version 3.0 ("GPL") as published by the Free Software Foundation, or any later version, and that Maintainer may sublicense the Contribution under the terms of the GPL.

  2. Contributor's Representations.

    a. Ownership. Contributor represents that they are the sole owner of the Contribution and have the right to grant the licenses provided in this Agreement.

    b. No Conflicts. Contributor represents that the Contribution is their original work, and to their knowledge, the Contribution does not infringe the intellectual property rights of any third party and is not subject to any third-party license or agreement that would affect its use as contemplated herein.

  3. Miscellaneous.

    a. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the French Republic.

    b. Entire Agreement. This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, whether oral or written, between the parties relating thereto.
