Individual Contributor License Agreement

Thank you for your interest in contributing to MidTerm. This Contributor License Agreement ("Agreement") documents the rights granted by contributors to this project.

By submitting a pull request or other contribution to this project, you agree to the following terms:

1. Definitions

"You" means the individual who submits a Contribution to this project.

"Contribution" means any original work of authorship, including any modifications or additions to existing work, that you submit to this project for inclusion in the software.

"Project Owner" means Johannes Schmidt and any designated successors or assigns.

2. Grant of Copyright License

You hereby grant to the Project Owner a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to:

  • Reproduce, prepare derivative works of, publicly display, publicly perform, and distribute your Contributions and such derivative works
  • Sublicense any or all of the foregoing rights to third parties
  • Relicense your Contributions under any license, including proprietary licenses, without further permission from you

This grant specifically enables dual-licensing, allowing the Project Owner to offer commercial licenses to third parties while maintaining the open source version under AGPL-3.0.

3. Grant of Patent License

You hereby grant to the Project Owner a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer your Contributions, where such license applies only to those patent claims licensable by you that are necessarily infringed by your Contribution alone or by combination of your Contribution with the project to which it was submitted.

4. Representations

You represent that:

  • You are the original author of the Contribution and have the legal right to grant the above licenses
  • Your Contribution does not violate any third party's intellectual property rights
  • If your employer has rights to intellectual property you create, you have received permission to make the Contribution, or your employer has waived such rights
  • You are not aware of any claims, suits, or actions pertaining to your Contribution

5. No Obligation

You understand that the decision to include your Contribution in the project is entirely at the discretion of the Project Owner. This Agreement does not obligate the Project Owner to use or include your Contribution.

6. Support

You are not expected to provide support for your Contributions, except to the extent you desire to provide support. You may provide support for free, for a fee, or not at all.

7. Agreement

By submitting a Contribution (via pull request, patch, or other means), you signify your acceptance of this Agreement. No separate signature or additional documentation is required.

This CLA is based on common open source contributor agreements and is designed to enable dual-licensing while protecting both contributors and the project.
